GENERAL TERMS & CONDITIONS

These General Terms & Conditions (“Terms”) govern all contractual relationships between EAST BALANCE s.r.o. (“the seller”) and its customers (“the buyer”). They are issued under §1751 et seq. of Act No. 89/2012 Coll., the Civil Code.
2. Formation of Contract
A purchase contract is formed only when the seller confirms the buyer’s order in writing.
The seller may issue a written offer containing product specifications, pricing, delivery times, terms of delivery, and offer validity. Acceptance of an offer without modification constitutes conclusion of a contract.
Repeat orders of previously purchased goods may reference an earlier confirmed offer.
3. Pricing & Payment Terms
- The buyer agrees to pay the price stated in the offer or current price list.
- Prices are invoiced in the currency specified by the seller.
- Payment is due within 7 days unless otherwise agreed.
- Payment is complete when credited to the seller’s bank account.
- Prepayments are invoiced via pro forma; final invoices reflect received advances.
- Delay of any instalment makes the entire outstanding balance immediately due.
- Payment disputes do not relieve the buyer of payment obligations.
- In insolvency or liquidation, the seller may require advance payment or suspend deliveries.
- All payment-related fees are non-refundable.
4. Cancellation of Training Programmes
- 60+ days before start date: 80% refund (excluding payment fees).
- 30–59 days before start date: 50% refund.
- Less than 30 days: no refund.
Transfers to alternative dates may be granted depending on availability.
5. Delivery & Shipping Terms
Delivery is fulfilled when the buyer is notified that goods are available for collection, unless shipment is agreed.
Default Incoterm: DAP
Optional on request: DDP
Under DAP and DDP, the buyer bears import duties, taxes, customs fees, and clearance charges.
EXW Terms
- The buyer must collect goods according to dispatch instructions.
- All export documentation is the buyer’s responsibility.
- Administrative services are billed at EUR 50/hour.
EUR.1 certificates must be requested in advance and are billed separately. The seller may deliver in partial shipments.
Risk transfers to the buyer according to the agreed Incoterm. If the buyer delays payment or collection, goods may be stored at the buyer’s expense.
6. Retention of Title
Ownership transfers only upon full payment.
The buyer may not sell, pledge, or encumber goods until payment is complete.
If goods are resold or incorporated into another product before full payment, the seller retains proportional ownership or claims rights.
7. Intellectual Property
All drawings, documents, manuals, designs, and materials remain the intellectual property of the seller.
- Confidential materials must not be disclosed or copied.
- The seller is not liable for IP claims arising from misuse or modifications by the buyer.
- Any challenge to IP rights must be reported to the seller immediately.
8. Warranty & Claims
- The seller is liable only for defects existing at the time risk transfers to the buyer.
- The buyer must inspect goods immediately and report defects within 7 days.
- Warranty applies to manufacturing defects only.
- Misuse, wear, or improper installation are not covered.
The seller may choose repair, replacement, or a price discount.
9. Technical Support & Repairs
Requests must be submitted to info@smallbatchtools.com with full product and issue details.
Post-warranty repairs are chargeable. A quotation must be approved before work begins.
Repairs are invoiced after completion and must be paid per invoice terms.
10. Liability & Force Majeure
- The seller is not liable for indirect damages, lost profit, or production downtime.
- Force majeure suspends obligations except payment obligations.
- The seller is not obliged to deliver goods without required permits or export clearances.
11. Governing Law & Jurisdiction
These Terms are governed by the laws of the Czech Republic.
Disputes should first be resolved amicably. If litigation is required, jurisdiction lies with the courts competent for the seller’s registered address.
Invalid provisions do not affect the validity of remaining Terms.
12. Amendments
EAST BALANCE s.r.o. may amend these Terms to reflect legal, operational, or technical changes. Updated versions will display the amended effective date.
